Agreement to Terms

Welcome to Binx AI! By accessing or using our WhatsApp-based AI assistant service, you agree to be bound by these Terms of Service ('Terms'). If you do not agree to these Terms, you must not use our service. These Terms constitute a legally binding agreement between you and Binx AI.

Service Description

Binx AI provides an AI-powered assistant accessible through WhatsApp and a web dashboard. Our services include, but are not limited to:

•Conversational AI responses using advanced language models

•Web search and information retrieval

•Social media content downloads and previews

•Image generation, analysis, and editing

•Audio and video processing and summarization

•Document analysis and image-to-PDF conversion

•Reminder scheduling and notifications

•Lyrics search and music information

•Usage analytics and engagement tracking

•We reserve the right to modify, suspend, or discontinue any feature at any time without prior notice.

Eligibility and Account Requirements

To use Binx AI, you must meet certain eligibility requirements:

•You must be at least 13 years old (or 16 in the European Economic Area)

•You must have a valid WhatsApp account and phone number

•You must provide accurate information when creating your account

•You are responsible for maintaining the security of your account

•You may not share your account with others or use multiple accounts to circumvent usage limits

•We reserve the right to refuse service or suspend accounts at our discretion

Authentication via Tekcify Auth

Binx AI uses Tekcify Auth, our secure authentication platform, to protect your account and manage your identity across Tekcify products:

What is Tekcify Auth:

•Tekcify Auth is our production-grade OAuth 2.0 authentication system built with industry-leading security standards

•It provides a unified identity management experience across all Tekcify products and services

•Your Tekcify Auth account may be used to access other Tekcify services seamlessly

Security Features:

•OAuth 2.0 with PKCE (Proof Key for Code Exchange) for secure authorization flows

•Multi-factor authentication (MFA) support for enhanced account protection

•Passkey support for passwordless, phishing-resistant authentication

•Social login options (Google, GitHub, etc.) for convenient access

•Argon2 password hashing—the most secure password hashing algorithm available

•JWT (JSON Web Tokens) for secure session management

Your Responsibilities:

•Enable MFA or passkeys for maximum account security

•Keep your authentication credentials confidential

•Report any suspicious account activity immediately to security@usebinx.com

•Log out of shared or public devices after use

Acceptable Use Policy

You agree to use Binx AI responsibly and lawfully. You must NOT:

Prohibited Activities:

•Use the service for any illegal purpose or to violate any laws

•Harass, abuse, threaten, or harm others

•Generate, distribute, or request illegal content (child exploitation, terrorism, etc.)

•Attempt to generate content that infringes on intellectual property rights

•Impersonate others or misrepresent your identity or affiliation

•Spread misinformation, spam, or malicious content

Technical Restrictions:

•Attempt to hack, reverse engineer, or compromise our systems

•Use automated tools (bots, scrapers) to access the service without permission

•Attempt to bypass rate limits, usage restrictions, or payment requirements

•Overload or interfere with our servers or networks

•Access other users' accounts or data without authorization

Content Restrictions:

•Submit malware, viruses, or harmful code

•Upload excessively large files designed to disrupt service

•Repeatedly submit content that violates our policies after warnings

Consequences of Violations:

•We reserve the right to suspend or terminate your account immediately for violations

•Serious violations may be reported to law enforcement

•You remain liable for any damages caused by your violations

Credits, Tokens, and Payment Terms

Binx AI operates on a credit and token-based system. Here are the financial terms:

Free Tier:

•All users receive a daily allocation of free tokens

•Token limits reset daily based on your timezone

•Free tokens cannot be rolled over or transferred

Paid Credits:

•You can purchase credits to access additional features and bypass daily limits

•Credits are deducted based on your usage of various features

•Credit pricing is displayed at the time of purchase and may change with notice

•Credits do not expire as long as your account remains active

Payment Processing:

•All payments are processed through secure third-party payment providers

•You authorize us to charge your payment method for credit purchases

•Payment card information is not stored by us—it's handled directly by payment processors

•You're responsible for all charges, taxes, and fees associated with your purchases

Refund Policy:

•Credits are generally non-refundable once purchased

•Refunds may be issued at our sole discretion for technical errors or service failures

•Refund requests must be submitted within 14 days of purchase to legal@usebinx.com

•We comply with applicable consumer protection laws regarding refunds

Price Changes:

•We reserve the right to modify pricing with 30 days' notice

•Price changes do not affect credits already purchased

•Continued use after price changes constitutes acceptance

Intellectual Property Rights

Ownership and intellectual property rights are important. Here's what you need to know:

Our Intellectual Property:

•Binx AI owns all rights to the service, including software, algorithms, branding, and design

•Our trademarks, logos, and brand elements are protected and may not be used without permission

•You may not copy, modify, distribute, or create derivative works of our service

Your Content:

•You retain ownership of content you submit to Binx AI (messages, files, media)

•By submitting content, you grant us a worldwide, non-exclusive license to use, store, process, and display your content solely to provide the service

•This license ends when you delete your content or account (subject to backup retention periods)

•You represent that you have all necessary rights to content you submit

AI-Generated Content:

•Content generated by Binx AI in response to your requests may not be unique

•Similar prompts from different users may produce similar outputs

•You may use AI-generated content for personal or commercial purposes, but we provide no warranties about its accuracy, originality, or fitness for any purpose

•You're responsible for verifying AI-generated content before use

•You may not claim exclusive copyright over AI-generated content alone

Third-Party Content:

•Downloaded content from social media or external sources may be subject to third-party rights

•You're responsible for respecting copyright, trademark, and other rights when using downloaded content

•We're not liable for your misuse of third-party content

AI-Generated Content Disclaimer

AI technology has limitations. By using Binx AI, you acknowledge and accept that:

•AI-generated responses may contain inaccuracies, errors, or outdated information

•AI may sometimes produce biased, offensive, or inappropriate content despite our safeguards

•AI cannot provide professional advice (legal, medical, financial) and should not be relied upon for such purposes

•You should independently verify important information before relying on it

•We're not responsible for decisions you make based on AI-generated content

•AI-generated content does not represent our views, opinions, or endorsements

Service Availability and Support

We strive to provide reliable service, but there are important limitations:

Service Availability:

•We aim for high uptime but do not guarantee uninterrupted or error-free service

•We may suspend service temporarily for maintenance, updates, or technical issues

•We're not liable for downtime or service interruptions

Support:

•Support is provided via email at legal@usebinx.com

•We typically respond within 48 hours but do not guarantee response times

•Support is provided in English; other languages may not be available

Updates and Changes:

•We may update features, functionality, and the user interface at any time

•Some updates may change or remove features you rely on

•We'll provide notice of major changes when feasible

Account Suspension and Termination

We reserve the right to manage accounts to protect our service and community:

Our Rights:

•We may suspend or terminate your account at any time for violations of these Terms

•We may suspend accounts for suspicious activity, abuse, or fraud

•We may terminate accounts that remain inactive for extended periods

•Suspended or terminated users forfeit remaining credits (no refunds)

Your Rights:

•You may delete your account at any time by contacting privacy@usebinx.com

•Upon deletion, your data will be removed per our Privacy Policy

•You may request credit refunds before deletion (subject to our refund policy)

Effect of Termination:

•Your license to use Binx AI ends immediately upon termination

•You must cease all use of the service

•Provisions that by nature should survive (liability limitations, indemnification) remain in effect

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BINX AI AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND PARTNERS SHALL NOT BE LIABLE FOR:

•Any indirect, incidental, special, consequential, or punitive damages

•Loss of profits, revenue, data, or business opportunities

•Damages resulting from your use or inability to use the service

•Damages caused by AI-generated content, including inaccuracies or harmful advice

•Damages resulting from unauthorized access to your account

•Damages from service interruptions, errors, or data loss

•OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM YOUR USE OF BINX AI SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM AROSE, OR $100 USD, WHICHEVER IS GREATER.

•SOME JURISDICTIONS DO NOT ALLOW LIMITATION OF LIABILITY FOR PERSONAL INJURY OR CERTAIN DAMAGES. IN SUCH JURISDICTIONS, OUR LIABILITY IS LIMITED TO THE GREATEST EXTENT PERMITTED BY LAW.

Disclaimers and Warranties

BINX AI IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING:

•No warranty of merchantability or fitness for a particular purpose

•No warranty that the service will be uninterrupted, secure, or error-free

•No warranty regarding the accuracy, reliability, or completeness of AI-generated content

•No warranty that defects will be corrected or that our servers are free of viruses or harmful components

•You use Binx AI at your own risk. We do not endorse or verify AI-generated content. You're responsible for evaluating the accuracy and appropriateness of any content before relying on it.

Indemnification

You agree to indemnify, defend, and hold harmless Binx AI and its affiliates, officers, directors, employees, and partners from any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from:

•Your use or misuse of the service

•Your violation of these Terms

•Your violation of any law or third-party rights

•Content you submit to the service

•Your use of AI-generated or downloaded content

•Unauthorized access to your account due to your failure to protect credentials

Dispute Resolution and Arbitration

To resolve disputes efficiently and cost-effectively, you agree to the following:

Informal Resolution:

•Before filing any claim, you must contact us at legal@usebinx.com to attempt informal resolution

•We'll have 60 days to resolve the dispute informally

Arbitration Agreement:

•If informal resolution fails, disputes will be resolved through binding arbitration, not court litigation

•Arbitration will be conducted under the rules of a recognized arbitration organization

•Arbitration will be conducted in English

•You waive your right to a jury trial and to participate in class actions

Exceptions:

•Either party may seek injunctive relief in court for intellectual property disputes

•Small claims court disputes (below jurisdictional limits) may be heard in small claims court

Class Action Waiver:

•You agree to bring claims only in your individual capacity, not as part of any class or representative action

•NOTE: Some jurisdictions do not allow arbitration agreements or class action waivers. If you're in such a jurisdiction, this section may not apply to you.

Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with applicable laws, without regard to conflict of law principles. For disputes that proceed to litigation, you consent to the jurisdiction of competent courts.

Privacy and Data Protection

Your use of Binx AI is also governed by our Privacy Policy, which explains how we collect, use, and protect your information. By using our service, you consent to our data practices as described in the Privacy Policy. Please review it carefully.

Changes to These Terms

We may modify these Terms at any time. When we do:

•Changes take effect 30 days after notice (or immediately for legal or security reasons)

•If you don't agree to changes, you must stop using the service and may request account deletion

Severability and Waiver

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect. Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Binx AI regarding the use of our service and supersede any prior agreements or understandings.
